Subject of the report: conclusion of a significant agreement

Content of the report:

The Management Board of LSI Software S.A. with its registered office in Łódź (hereinafter “the Issuer”) hereby reports that on 28 February 2022 the Issuer concluded with FPHU FRONT-AL s.c. Jacek Izydorczyk, Andrzej Kazimierczak a preliminary property purchase agreement. The subject of the agreement is the commitment to sell to LSI Software S.A. the property located in Łódź at 10-12 Starorudzka Street and the related rights and obligations for a total net price amounting to PLN 3,150,000.

The subject property encompasses perpetual usufruct of land with a total area of 4,144 square metres and a production and warehouse facility along with infrastructure with an area of 1,054 square metres forming a separate property. In addition, the property also includes a 2/18 share in the perpetual usufruct right of the property being an access road. The parties agreed that the promised sale agreement will be concluded by 30 June 2022.

Other conditions of the agreement do not differ from those commonly used for this type of agreements.

The subject information complies with the significance criterion due to its impact on the projected revenues and financial results of LSI Software S.A.
